10. Notices and Communication

All official communication relating to these Terms & Conditions must be made in writing and delivered through one of the following accepted methods:

  •  Email

  •  Registered post / courier

  •  Platform messages (if communication occurs via a dedicated portal)

 

10.1 Language

All formal communication must be in English unless otherwise agreed. Zentris Freight may, at its discretion, provide unofficial translations to assist non-English-speaking clients, but only the English version is legally binding.

9. Governing Law and Jurisdiction

These Terms & Conditions and any dispute or claim arising out of or in connection with them (including non-contractual matters) shall be governed by and interpreted in accordance with the laws of England and Wales, unless expressly agreed otherwise in writing.

9.1 Dispute Resolution

  • In the event of a dispute, the parties shall first attempt to resolve the matter amicably and in good faith through negotiation.

  • If no resolution is reached within 14 working days, either party may refer the dispute to mediation or commercial arbitration, prior to initiating legal action.

9.2 Jurisdiction

Subject to any mandatory international conventions (e.g. CMR), the parties agree that the courts of England and Wales shall have exclusive jurisdiction over any legal action or proceedings arising out of or in connection with these Terms & Conditions.

8. Termination

Either party may terminate the cooperation or service agreement under the following conditions:

8.1 Termination by the Client

The Client may terminate ongoing services:

  • At any time for future shipments, by providing written notice at least 24 hours in advance

  • Without notice in case of proven breach of contract by Zentris Freight

Any scheduled or in-progress shipments already booked will still be chargeable.

8.2 Termination by Zentris Freight

Zentris Freight may suspend or terminate services:

  • If the Client fails to pay invoices on time

  • In case of abuse, fraud, or providing false shipment information

  • If the Client’s activities expose Zentris Freight to legal or reputational risk

  • Upon insolvency, liquidation, or cessation of business activity

8.3 Consequences of Termination

  • All unpaid invoices become immediately due

  • Zentris Freight is entitled to cancel upcoming bookings without liability

  • Any contractual obligations that survive termination (e.g. confidentiality, data protection) remain enforceable

7. Data Protection and Confidentiality

Zentris Freight respects the privacy and confidentiality of all clients, partners, and carriers. We operate in compliance with:

  • UK GDPR and EU GDPR

  • The Data Protection Act 2018 (UK)

  • Any other applicable data protection laws

7.1 Use of Personal and Business Data

We collect and process client data (e.g. names, contact details, addresses, shipment details) solely for the purpose of:

  • Performing and managing logistics services

  • Fulfilling contractual and legal obligations

  • Communicating about shipments and invoicing

We do not sell or share data with third parties, except for:

  • Operational needs (e.g. passing delivery details to the carrier)

  • Legal compliance

  • Insurance and customs purposes

7.2 Data Security

We implement appropriate technical and organisational measures to protect data against unauthorised access, alteration, or destruction.

Clients have the right to:

  • Request access to stored data

  • Request correction or deletion

  • Object to certain types of processing

All such requests must be submitted in writing.

7.3 Confidential Information

Both parties agree to treat all non-public, commercially sensitive information exchanged during cooperation as confidential. This includes (but is not limited to):

  • Pricing

  • Routes

  • Business partners and client lists

  • Shipment details and contract terms

Confidentiality obligations remain in effect for 5 years after termination of the business relationship.

6. Force Majeure

Zentris Freight shall not be liable for any delay, failure, or partial performance of its obligations under these Terms & Conditions if such delay or failure is caused by events beyond its reasonable control, including but not limited to:

  • Natural disasters (floods, earthquakes, storms)

  • War, acts of terrorism, embargoes, civil unrest

  • Governmental or regulatory restrictions

  • Labour disputes or strikes (whether involving our personnel or not)

  • Pandemic, epidemic, or public health emergency

  • Disruptions in third-party logistics networks, customs, or border closures

In such cases, the affected party shall notify the other party as soon as reasonably possible and make reasonable efforts to resume operations. Deadlines and obligations may be extended or suspended accordingly.

5. Liability and Insurance

Zentris Freight acts as a freight forwarder and logistics intermediary. Our liability and insurance coverage are defined by both international conventions and the terms of our commercial freight liability policy underwritten by Fiducia MGA Company Ltd.

5.1 Role and Legal Position

Zentris Freight operates as a freight forwarder, not a direct carrier (unless explicitly stated). As such:

  • We arrange transportation services via third-party hauliers or subcontractors.

  • Zentris Freight is responsible for selecting competent partners and managing contractual documentation.

  • We are not directly liable for physical loss or damage caused during transport unless due to our own negligence or administrative error.

5.2 Contractual Conditions of Carriage

All transport operations are carried out under one or more of the following sets of terms, depending on the shipment type and destination:

  • CMR Convention – for international road transport within Europe.

  • BIFA Standard Trading Conditions – when acting under UK freight forwarding terms.

  • Specific carrier or subcontractor terms, as explicitly accepted by the Client.

 Note: If Zentris Freight acts as a principal carrier (not intermediary), the CMR conditions shall apply automatically, unless another contract is signed.

5.3 Policy Coverage Summary

Zentris Group Limited holds an active Freight Liability Insurance Policy underwritten by Fiducia MGA. Key details:

  • Policy Limit of Indemnity: £500,000 (total annual limit)

  • Per Conveyance Limit: £350,000 (both own and subcontracted CMR haulage)

  • Territorial Scope: British Isles and Europe

  • Errors & Omissions Extension: Up to £250,000 per period (with £500 excess)

The policy covers insured services including sub-contracted haulage under CMR.

5.4 Liability Limits and Exclusions

Under this policy and applicable law:

  • Zentris Freight’s maximum liability per shipment is £350,000, unless otherwise agreed.

  • Liability is excluded for:

    • Loss caused by incorrect data from the Client

    • Del

    • Imprope

    • Inherent vice of goods (e.g. perishable items without temperature control)

5.5 Optional Cargo Insurance

If the Client wishes to insure goods for full value (e.g. against total loss), they must:

  • Request All-Risk Cargo Insurance separately in writing

  • Provide shipment value and nature in advance

  • Accept any premium and terms from our insurer or a third party

If no cargo insurance is requested, the Client agrees that Zentris Freight shall not be liable beyond the insured limits above.

5.6 Claims Procedure

To initiate a claim under our Freight Liability Policy, the Client must:

  • Report the incident immediately by email or phone (zentrisgroup@gmail.com / +44 020 8040 4250)

  • Submit written details including:

    • Delivery note with reservation (if visible damage)

    • Proof of value

    • Description of loss/da

    • Eviden

5.7 Governing Law

All liabilities, disputes, and claims under this section shall be interpreted in accordance with:

  • The CMR Convention (for international shipments), or

  • BIFA STCs (for UK freight forwarding)

3. Client Obligations

By using our services, the Client agrees to comply with the following obligations, which are critical for the proper execution of transport operations:

3.1 Accurate and Complete Information

The Client must provide:

  • Correct pick-up and delivery addresses, contact details, and access information

  • Exact dimensions, weight, and quantity of goods

  • Detailed description of the contents (nature, packaging, condition)

  • Declared value for customs or insurance, if applicable

  • All relevant documentation (invoices, export licenses, packing lists, etc.)

Zentris Freight shall not be held liable for delays, damages, or additional charges caused by inaccurate or missing data.

3.2 Proper Packaging and Labeling

The Client is responsible for ensuring that:

  • Goods are securely packaged and fit for transport

  • Packaging complies with legal and carrier-specific requirements

  • Each item is clearly labeled with destination and handling instructions (e.g., fragile, top-load)

Unsecured or improperly packed goods travel at the Client’s own risk.

3.3 Notification of Special Goods

The Client must inform Zentris Freight in advance if the shipment includes:

  • Dangerous or hazardous goods (ADR)

  • Perishable items, live animals, or valuables

  • Oversized or unusually heavy items

  • Customs-restricted or embargoed goods

Failure to disclose such information may result in service refusal or legal liability.

3.4 Compliance with Laws

The Client agrees to comply with all applicable laws, including:

  • National and international transport regulations (e.g., CMR, ADR)

  • Export control laws and customs rules

  • Anti-bribery, anti-terrorism, and sanctions compliance

3.5 Timely Payment

Clients agree to pay all invoices in full within the agreed payment term (see section 4). Non-payment may result in service suspension and legal action.

4. Pricing and Payment Terms

Unless otherwise agreed in writing, the following pricing and payment terms shall apply:

4.1 Price Estimates and Adjustments

  • All quotes are non-binding estimates based on information provided at the time of request.

  • Final pricing may vary depending on actual shipment characteristics, road conditions, waiting times, or additional services requested.

  • Prices are exclusive of VAT and other applicable taxes, unless stated otherwise.

4.2 Invoicing

  • Invoices are issued after service completion or, for recurring clients, on a scheduled basis (e.g., weekly).

  • Each invoice includes service description, date, route, cost breakdown, and VAT (if applicable).

  • All invoices are issued in EUR or GBP, unless otherwise agreed.

4.3 Payment Terms

  • Standard payment terms are 7 or 14 calendar days from invoice date.

  • Payments must be made via bank transfer to the account specified on the invoice.

  • The Client is responsible for all applicable bank charges or currency conversion fees.

4.4 Late Payments and Penalties

In case of late payment, we reserve the right to charge:

  • Statutory late payment interest

  • Collection fees

  • Legal costs if recovery action is necessary

  • Continued delays may result in service suspension or cancellation of credit terms.

4.5 Disputes and Refunds

  • Any invoice discrepancies must be reported within 7 days of receipt.

  • Refunds (if applicable) will only be issued in cases of overbilling or service failure due to our fault.

2. Scope of Services

Zentris Freight provides professional freight forwarding and logistics coordination services to commercial clients, primarily in the European Union and the United Kingdom. These services are offered under the terms of this agreement and may vary depending on market, destination, and carrier availability.

2.1 Freight Forwarding

We act as an independent logistics intermediary — not as a direct carrier — unless explicitly agreed otherwise. Our role includes:

  • Receiving transport inquiries from clients

  • Identifying optimal transport solutions (pricing, route, lead time)

  • Coordinating shipment bookings with pre-approved carriers

  • Monitoring shipment progress and providing delivery status updates

  • Assisting with transport documentation (e.g. waybills, CMR, POD)

2.2 Express and Time-Critical Transport

For clients requiring urgent delivery, we offer access to express services, including:

  • Dedicated same-day or next-day vehicles

  • Door-to-door delivery within fixed timeframes

  • Constant tracking and status communication

  • Rapid customs coordination where necessary

All express services are subject to vehicle and capacity availability.

2.3 Customs Assistance

For cross-border transport, we may assist clients with:

  • Gathering and reviewing customs-required documents

  • Coordinating with licensed customs agents

  • Monitoring the status of customs clearance

  • Advising on HS codes, Incoterms, and declarations

Note: Zentris Freight does not act as a licensed customs broker, and may use third-party agents.

2.4 Documentation & Compliance Support

We support clients by providing or helping prepare key logistics documents, including:

  • CMR consignment notes

  • Commercial invoices

  • Packing lists

  • Proofs of delivery (POD)

  • Certificates of insurance (upon request)

Accuracy of provided data remains the responsibility of the client.

2.5 Communication & Client Support

Zentris Freight maintains active communication throughout the shipment process. Our support includes:

  • Pre-shipment confirmations

  • In-transit updates via phone, email, or platform

  • Immediate alerts in case of delays or incidents

  • Post-delivery confirmation and documentation forwarding

Support is available on business days, and optionally 24/7 for express or VIP shipments (by prior arrangement).

1.1 “Zentris Freight” / “we” / “us” / “our”

Refers to the business entity operating under the name Zentris Freight, providing freight forwarding, logistics coordination, and related services either directly or through subcontracted carriers.

1.2 “Client” / “you” / “your”

Refers to any business, legal entity, or individual acting in a business capacity, who uses or intends to use Zentris Freight’s services or website for the purpose of arranging transportation of goods.

1.3 “Services”

Means the range of logistics and freight forwarding operations provided by Zentris Freight, including but not limited to:

  • Road freight coordination

  • Express or time-critical transport

  • Customs assistance

  • Documentation management

  • Cargo tracking

  • Support and communication with third-party carriers

1.4 “Agreement”

Refers to any contractual relationship—written, verbal, or electronic—established between Zentris Freight and the Client, governing the delivery of transport or related services.

1.5 “Carrier”

A third-party transport company or subcontractor engaged by Zentris Freight to physically carry out the transportation of goods.

1.6 “Consignment”

The shipment or group of goods that the Client instructs Zentris Freight to transport under a specific request or booking.

1.7 “Working Day”

Any day from Monday to Friday, excluding public holidays in the jurisdiction in which Zentris Freight operates.

1.8 “Force Majeure”

Any event or circumstance outside of reasonable control that prevents or delays either party from fulfilling their obligations under the agreement. This may include, but is not limited to:

  • Natural disasters

  • War, riots, or civil unrest

  • Governmental restrictions or customs strikes

  • Epidemics or pandemics

  • Fuel shortages or transportation network failures

1.9 “CMR Convention”

Refers to the Convention on the Contract for the International Carriage of Goods by Road, which governs rights, obligations, and liability between parties involved in international road transport.
